Terms of service

The binding language of these terms is Czech. This English text is a courtesy translation. If the two differ, the Czech terms prevail.

Introduction and identification of the provider

These terms of service (the “Terms”) govern the making, setup and operation of websites and related digital work offered by Thanh An Nguyen, DigitalFusion, IČO 23628251, seat Mlýnská 379, Hrušovany nad Jevišovkou, 671 67, registered with the Municipal Office in Znojmo, e-mail tony.nguyen@digitalfusion.cz, telephone +420 735 928 928, website digitalfusion.cz (the “Contractor”). Bank account 3149967133/0800 (Česká spořitelna). The Contractor is not a VAT payer. Identification on the website follows section 435 of the Czech Civil Code. He is a natural person, not a company in the Commercial Register; the trade office is the Municipal Office in Znojmo. The sample contract is on Sample contract. Privacy is on Privacy. A translation does not replace the Czech original. A client who acts as an entrepreneur confirms they take the service for their business.

Definitions

“Work” is the website and other outputs named in the contract appendix. “Offer” is the scope and price snapshotted into that appendix. “Setup” runs from signature or deposit to deployment. “Operation” is hosting, updates, security care and monitoring in the appendix. “Client data” are the client’s content and their customers’ data. “Application layer” is the Contractor’s software, templates and automation used for more than one client. “In writing” includes e-mail from the address in the contract.

Formation of the contract

The contract is formed by accepting an offer, signing the work contract (including a simple electronic signature on the page made for that) or other conduct that shows the client takes the scope and price. The public sample is not an offer. Filling a form or answering outreach does not yet form a contract. Czech is the language of the contract.

Subject of the service

The subject is performing the Work and, if the appendix says so, operating it. What is in the price is the appendix snapshot, not a later marketing sentence. The Contractor does not guarantee a number of leads, a search rank or the outcome of the client’s dispute with a customer. The client’s domain stays the client’s.

Price and payment

Price is in the contract appendix and is final; VAT is not added. Unless agreed otherwise, deposit and balance are paid to 3149967133/0800. Setup starts after the deposit arrives. Late payment lets the Contractor pause work until the amount lands. Extra work needs a written addendum, not a silent increase.

Setup of the work

Setup follows the contract timetable, usually in weeks from the deposit. The deadline extends by the time the client withholds cooperation or payment. The Work is taken over five working days after deployment unless the client states in e-mail how it fails the appendix. Dislike of a colour that still matches the appendix does not block takeover.

Operation and cooperation

Operation means keeping the Work available in the usual range of the chosen infrastructure, security updates of the application layer, and basic signals. It is not a promise of zero downtime. The client answers professional questions and gives feedback within five working days. Silence longer than fourteen days lets the Contractor finish from the last known brief or pause.

Client data

Client data stay the client’s. A full export in a machine-readable form the layer can emit is available on request without undue delay. The application layer stays with the Contractor. After the service ends, client data are handed over or downloadable and then removed or anonymised once accounting and legal grounds in the privacy policy end. The client is controller of their visitors’ data; the Contractor is processor for that store.

Liability

The Contractor warrants the Work matches the appendix at handover and is done with professional care. Warranty is six months from handover unless the contract says otherwise. Compensation for breach is limited to the amount the client actually paid for that Work and operating period, except intent or gross negligence where mandatory law forbids the cap. Lost profit and data the client could have backed up themselves are excluded.

Personal data (GDPR and Czech Act No. 110/2019 Coll.)

Details, bases, retention, recipients and rights sit in the privacy policy. Act No. 480/2004 Coll. applies to any commercial electronic messages; one reply is enough to opt out. The client who collects visitor data on their Work must inform those visitors themselves.

Duration and termination

Either party may terminate ongoing operation with one month’s written or e-mail notice, without a penalty. Termination does not wipe the duty to pay for setup already done and for operation until the end of the notice. Withdrawal is possible for a material breach, especially payment or delivery more than thirty days late after a cure notice.

Disputes

The parties try negotiation first. Czech courts at the Contractor’s seat have jurisdiction unless mandatory law says otherwise. Czech law applies. A consumer has the rights the consumer-protection act and the Civil Code give them; the service is offered primarily to entrepreneurs. Anyone acting as a consumer must say so before signing.

Changes to the terms

Changes are published on this page and e-mailed to clients in an ongoing operating relationship. They take effect at the earliest one month later, unless a statute cannot wait. A client who disagrees may terminate operation as of the effective date without penalty. A change of these Terms does not change the price or scope of an already closed setup contract.

Final provisions

These Terms are published on this page of digitalfusion.cz. The work contract refers to them as an integral part. The sample is on Sample contract. Privacy is on Privacy.
